Basis of Valuation
· Our valuation is based on the market value.
· We define market value as the price at which we could reasonably expect to sell an activity, against payment in cash or in the form of a contribution, in the frame of a transaction that is freely negotiated, under normal market conditions, between a acquirer/purchaser wishing to buy and a transferor/seller wishing to sell, who have the same information concerning the activity and its markets and each of the two parties is considered to be acting in his/her own interest.
· This price is determined based on the assumption that no acquirer/purchaser has any particular interest in the activity, unless such interest has been announced and is known to the market at the date of the transaction. Accordingly, this value does not take into account any special premium or value resulting from synergies or other benefits that may be withdrawn from the transaction by a specific acquirer/purchaser.
