Split-off: The process whereby a parent corporation organizes a subsidiary corporation to which it transfers part of its assets in exchange for all of the subsidiary's capital stock, which is subsequently transferred to the shareholders of the parent corporation in exchange for a portion of their parent stock.

A split-off differs from a spin-off in that the shareholders in a split-off must relinquish their shares of stock in the parent corporation in order to receive shares of the subsidiary corporation whereas the shareholders in a spin-off need not do so.

Here is how "escisión" is defined in the Spanish Ley de Sociedades Anónimas:
"Sección tercera. Escision
Art. 252. Concepto y requisitos.
1. Se entiende por escisión:
a) La extinción de una Sociedad anónima, con división de todo su patrimonio en dos o más partes, cada una de las cuales se traspasa en bloque a una Sociedad de nueva creación o es absorbida por una Sociedad ya existente.
b) La segregación de una o varias partes del patrimonio de una Sociedad anónima sin extinguirse, traspasando en bloque lo segregado a una o varias Sociedades de nueva creación o ya existentes."

Hi, María Eugenia :) "Split-off" and "spin-off" are American terms, and I think Kate probably wants UK English. Beware of equating SP "división" with EN "division". Also, escisión is not split-off ( http://www.investopedia.com/terms/s/split-off.asp )
