Решения по вопросам исключительной компетенции общего собрания участников, указанным в подпунктах ....., принимаются единогласно.
1) Decisions on issues (matters) pertaining to/that fall within the exclusive competence of the general meeting of participants as provided for in clauses... are (shall be) taken unanimously.
2) Decisions on the general participants' meeting reserved matters specified in clauses...are (shall be) taken unanimously.
Вопрос: надо ли здесь использовать выражение "...reserved matters" (вопросы исключительной компетенции)?
Решения по вопросам исключительной компетенции общего собрания участников, указанным в подпунктах ....., принимаются единогласно.

Я с формулировками такого вида встречался (попадались также Reserved Meeting Matters, Reserved Shareholder Matters, если акционер один, и т. п.), но там, где эти вопросы встречаются впервые, формулировку надо предварить более развернутым пояснением, что falling within the exclusive competence

по примечанию: элементарно можно перестроить: decisions on matters specified in... and falling within (или "as falling within" / "as reserved to"? тут дело зависит от формулировки указанных пунктов) the exclusive competence of... ("Meeting Reserved Matters") – в общем, я бы не стал таскать через весь текст всю эту тяжесть, а general meeting of members' reserved matters к тому же первым делом хочется толковать как общее собрание вопросов, относящихся к исключительной компетенции участников
