(C) without prejudice to Section 4.4 (Release of Phase II Performance Security) the Phase II Performance Security shall continue to be in full force and effect during the Interim Phase II Termination Period, provided that:
(1) Offtaker shall be entitled to draw, as its sole and exclusive remedy with respect to such event, immediately on the Phase II Performance Security in accordance with this Agreement if Section 20.2(e)(ii) (Termination Following Event ofDefault) applies; or
(2) Offtaker shall return the Phase II Performance Security to Contractor promptly following the Phase II Commercial Operation Date if Section 20.2(e)(i) (Termination Following Event ofDefault) applies.
