English to Polish Law/Patents Law: Contract(s) right of refusal

The right of any party to assign, transfer or sell its interest in the shares shall, except for a transfer to the party’s heirs, personal representatives or conservators in the case of death or legal incapacity, be subject to the non-assigning party’s right of first refusal.
