Notwithstanding the provisions of section 11.1 of this Agreement, neither of the Parties shall be entitled to terminate or rescind this Agreement, unless the other Party, after giving proper written notice or default stating a reasonable period within which to remedy the failure, imputably fails to meet any obligations under this Agreement.
