Source text - English At the request of the Tenderer, we the undersigned bank/credit institution, waiving all rights of objection and defense under this Tender, hereby, irrevocably and without any reference to and notwithstanding any objection by the Tenderer, undertake to pay you without delay (and within 3 working days) the Guaranteed Amount upon receipt by us of your first demand in writing stating that the Tenderer:
(a) after the deadline for the submission of Tenders has expired and during the period of Tender validity, has withdrawn his Tender or part of it; or,
(b) having been notified of the acceptance of his Tender by the Contracting Authority during the period of Tender validity and having been asked to sign the Contract Agreement:
(i) has failed or refused to timely furnish any certificate and/or other document and/or the Performance Guarantee and/or to fulfil any other obligation deriving from his participation in the above mentioned, competitive bidding or (ii) has failed or refused to sign the Contract Agreement.
2. This Guarantee shall remain in force up to and including the expiry date mentioned above and any demand from you in respect thereof must be received by us on or before that date (or, if that date is a bank holiday, up to and including the last bank working day before that date). After that date, and provided that no written demand from you has been received by us by then, this Guarantee shall be deemed to be void, whether it has been returned to us or not.
3. For the purpose of identification, your demand for payment under this Guarantee has to be presented through a Bank, which maintains correspondent arrangements with us, which must confirm that the signatures on your request for payment, legally bind your company.
4. This Guarantee shall be governed by and construed according to the laws of the Republic of Cyprus and shall fall under the jurisdiction of the courts of the Republic of Cyprus.
This Guarantee is subject to the Uniform Rules for Demand Guarantees, ICC Publication No. 758.
Translation - Ukrainian На запит Учасника тендера ми, що нижче підписалися банківська/кредитна установа, відхиляючи всі права на заперечення та захист щодо цієї Тендерної пропозиції, цим незмінно та не зважаючи на та не дивлячись на будь-які заперечення з боку Учасника тендера, беремо на себе відповідальність заплатити вам без затримки (протягом трьох робочих днів) Гарантовану суму після отримання першої вимоги від вас у письмовому вигляді, яка зазначає що Учасник тендера:
(а) після закінчення терміну подання Тендерних пропозицій та протягом періоду дії Тендерної пропозиції вилучив свою Тендерну пропозицію або її частину; або
(b) після того, як Сторона контракту повідомила його про акцептування його Тендерної пропозиції в період дії Тендерної пропозиції та після того, як його запросили підписати Контракту угоду:
(i) не надав або відмовився надати в зазначений термін будь-який сертифікат та/або інший документ та/або Гарантію виконання та/або виконати будь-які інші зобов‘язання, що виникають з його участі у вище зазначених конкурсних торгах або (ii) не підписав або відмовився підписувати Контрактну угоду.

Ця гарантія залишиться чинною до дати, що зазначена вище включно та будь-яка вимога від вас щодо цієї Гарантії повинна надійти до нас до цієї дати або в цей день (або якщо цей день припадає на святковий, до попереднього робочого дня включаючи його). Після цієї дати, та за умови, що ми не отримали від вас ніякої письмової вимоги до тих пір, ця Гарантія буде вважатися недійсною, не зважаючи на те, була вона повернута нам чи ні.
3. З метою ідентифікації, ваша вимога на оплату за цією Гарантією повинна надаватися через Банк, який має кореспондентські стосунки з нами, та який повинен підтвердити, що підписи на вашому проханні на оплату мають юридичну силу для вашої компанії.
4. Ця Гарантія буде керуватися та тлумачитися згідно до законів Республіки Кіпр та підпадає під юрисдикцію судів Республіки Кіпр.
Ця Гарантія підпадає під дію Уніфікованих правил для гарантій за вимогою, МТП Публікація № 758.

Source text - English Proprietary Rights and Patent Indemnity
8.1 All intellectual property rights (including without limitation, copyright) which relate or may relate to all reports, documents, computer programs and any other material (whether written or machine readable) produced or provided by the Consultant under this Agreement, or which forms part of the Work, shall be and become vested solely in XXX. The Consultant undertakes to execute such documents or agreements and do such other things as XXX may require (at the expense of XXX) to vest in XXX the intellectual property rights described above.
8.2 If notified promptly in writing of any action brought against XXX based upon a claim that XXX 's possession or use of the Work infringes a Ukrainian patent, trade mark, copyright or other intellectual property rights, the Consultant will undertake the defence, settlement or compromise of such action at its expense and indemnify XXX in respect of any costs and damages awarded, together with any expenses incurred by XXX in connection with such claim (including legal and expert's fees) provided that Consultant shall have sole control of the defence of any such action and all negotiations for its settlement or compromise.
8.3 If as a result of such a claim XXX is prohibited from possessing or using the Work, or if in the Consultant's opinion the possession or use of Work is likely to become infringing, the Consultant will, at its option and expense, either procure for XXX the right to the continued use or possession of the Work, or replace and modify the same so that it becomes non-infringing, without detracting from the overall utility of the Work. The Consultant will make good and indemnify XXX in respect of any loss of use during modification or replacement or whilst it is procuring for XXX the right to continue using the Work. If all else fails, the Consultant will grant XXX a credit for the full Price and require the return of the Work (so far as this is possible).
8.4 The Consultant will have no liability to XXX under any provision of this clause if the infringement, or claim is based upon any modification of the Work by a party other than the Consultant or its authorised agent, and (but for such modification) there would have been no such infringement.
9. Warranties and Representations
9.1 The Consultant warrants that it will carry out the Work with reasonable care, skill and diligence.
9.2 The Consultant warrants that all personnel nominated to perform the Works are suitably experienced and competent.

8.1 Все права интеллектуальной собственности (включая без ограничения авторское право), которые относятся или могут относиться ко всем отчетам, документам, компьютерным программам и любым другим материалам (написанным или машиночитаемым) произведенным или предоставленным Консультантом в соответствии с данным Соглашением, или которые составляют часть этой Работы, будут и перейдут в законную собственность только XXX. Консультант гарантирует исполнение таких документов или соглашений, а также выполняет другие такие задания по требованию XXX (за счет XXX), чтобы наделить XXX правами интеллектуальной собственности, описанными выше.
8.2 В случае получения своевременного письменного уведомления о любых действиях против XXX, основанных на жалобе о том, что владение или использование Работы Банком нарушает какой-либо украинский патент, торговую марку, авторское право или другие права интеллектуальной собственности, Консультант берет на себя защиту, урегулирование или принятие компромиссного решения такого вопроса за свой счет и освобождает XXX от возмещения любых расходов, ущербов и издержек, возникающих в связи с такой жалобой (включая юридические расходы и расходы на выплату вознаграждения экспертам), при условии, что Консультант будет сам контролировать защиту от таких действий и сам вести все переговоры по урегулированию такого вопроса или поиску компромиссного решения.
8.3 В случае, если в результате такой жалобы Банку будет запрещено обрабатывать или использовать Работу, или если по мнению Консультанта такая обработка и использование Работы будут являться нарушением, Консультант обязуется, за свой счет и из своих ресурсов, приобрести для XXX право на дальнейшее использование и обработку Работы, или заменить или модифицировать ту же таким образом, чтобы она не нарушала закон и не сокращала общие возможности Работы. Консультант возместит XXX любые убытки, понесенные во время модификации, замены или в период приобретения для XXX права на продолжение использования Работы. Если все это не будет возможным, Консультант вернет Банку долг равный полной Цене и потребует возвращения Работы (на сколько это будет возможно).
8.4 Консультант не будет нести ответственность перед Банком по любому из этих пунктов, если нарушение или жалоба основаны на любой модификации Работы, произведенной не Консультантом или не уполномоченным агентом, и (исключая такую модификацию) следовательно, не будет рассматриваться как нарушение.
9. Гарантии и заявления
9.1 Консультант гарантирует, что он выполнит Работу с надлежащим усердием, умением и прилежанием.
9.2 Консультант гарантирует, что все сотрудники, привлеченные к выполнению Работы, имеют достаточный опыт и квалификацию.
