xxx. (Branch Office in the Philippines), an international company which offers infrastructure construction services worldwide. with an office atxxx, herein represented by xxx, Senior Engineer, General Manager, and hereinafter referred to as the “First Party”;
and
xxx, President/Senior Adviser of xxx. (Law Firm), of legal age, Filipino and withxxxx, Pampanga, hereinafter referred to as the “Second Party”;
-WITNESSETH-
WHEREAS, the First Party is in need of an Executive Consultant to provide service for the latter;
WHEREAS, the Second Party hereby possesses the education, experience, training, and skills required to perform the requirements as described herein;
NOW THEREFORE, in consideration of the foregoing premises, the First Party hereby engages the services of the Second Party subject to the following terms and conditions:
1.The First Party will shoulder all necessary cost and expenses including but not limited to the following: representation allowance, travel, and transportation expenses, incurred by the Second Party in the performance of his duties;
2. The Second Party is expected to perform the following functions:
a.Negotiate, transact, and represent in any undertaking, agreement, or activity entered into by the First Party;
b.Represent and appear on behalf of the First Party in any government agency or any private company/institution as be assigned by the First Party; and
c.Perform other task as may be assigned by the First Party.
3.The Second Party shall perform work based on the approved work arrangement and shall be given allowance agreed by both parties for such services;
4.In the event that the Second Party is required, in the interest of service, to undertake field work, the Second Party may reimburse per diems, transportation and incidental expenses;
5.That the Second Party agrees to execute a Non-Disclosure and Confidentiality Agreement (NDCA) to protect confidential and proprietary information of the First Party;
6. That the Second Party, during the term of this Agreement, shall not accept any engagement or obligation that would potentially cause a conflict with her obligations, covenants or agreements hereunder;
7.The Second Party likewise undertakes to immediately inform the First Party in the event that she is assigned to a task that creates or potentially creates a conflict of interest on her part; and
8. The Compensation of the Second Party will be upon the mutual agreement of both parties;
9.This Contract hereunder shall take effect on the date of the signing hereof by the Parties (“Effective Date”); and
10. The Contract shall continue to be in full force and effect until otherwise cancelled or terminated in expressly in writing agreed by both parties upon payment of all necessary dues, fees, duties and obligations of both parties.
