Source text - English RECITALS:
(A) The Coal Supplier and the BOT Company have entered into the Coal Supply Agreement in relation to the acquisition, design, development, engineering, procurement, construction, manufacture, erection, commissioning, testing ownership, operation, maintenance, financing and transfer of Nghi Son 2, 2x600 MW coal-fired thermal power plant located at Nghi Son, Thanh Hoa Province in northern-central Vietnam (the "Project").
(B) Pursuant to the Common Terms Agreement, the Lenders have agreed to make certain credit facilities available to the BOT Company for the purpose of financing the Project.
(C) It is a condition precedent to the availability of funding under the Common Terms Agreement that this Agreement is executed and delivered by the Parties hereto.
THE PARTIES AGREE as follows:
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
In this Agreement:
"Additional Obligor" means the person identified as such in a Step-In Notice;
"Coal Supply Agreement" means the coal supply agreement dated on or about the date of this Agreement and made between the BOT Company and the Coal Supplier;
"Common Terms Agreement" means the common terms agreement dated 13 April 2018 and entered into between, amongst others, the BOT Company, the Offshore Security Agent and the Lenders;
"Deed of Novation" means a deed of novation substantially in the form set out in Schedule 2 (Deed of Novation);
"Dispute" has the meaning given to it in Clause 9.2 (Mutual discussions);
"Eligible Person" means a person with the necessary legal capacity, power and authority, financial resources and technical competence to become a party to and perform the obligations of the BOT Company under the Coal Supply Agreement;
"Finance Documents" has the meaning given to it in the Common Terms Agreement;
"Finance Party" has the meaning given to that term in the Common Terms Agreement;
"General Security Assignment" means the English law security agreement dated 21 May 2018 and entered into between the BOT Company and the Offshore Security Agent;
"Language Law" means Indonesian Law No. 24 of 2009 regarding the National Flag, Language and Coat of Arms, and National Anthem;
"Lenders" means the banks and financial institutions providing financial accommodation to the BOT Company under the Finance Documents;
"Notice of Lender Action" has the meaning given to it in Clause 3.2 (Notice of Lender Action);
"Notice of Restricted Action" means a written notice from the Coal Supplier to the Offshore Security Agent, copied to the BOT Company, specifying the grounds on which the Coal Supplier is entitled to take a Restricted Action and which:
(a) is clearly marked as a "Notice of Restricted Action" in relation to the Coal Supply Agreement;
(b) includes reasonable details of the events or circumstances that led to such notification being issued; and
(c) states the action which the Coal Supplier proposes to take and the date by which the Coal Supplier proposes to take the specified Restricted Action;
"Novation Date" has the meaning given to it in Clause 6.3 (Novation);
"Novation Notice" means a written notice given by the Offshore Security Agent to the Coal Supplier in accordance with Clause 6.1 (Novation Proposal);
"Party" means a party to this Agreement;
"Restricted Action" means the taking of any step to:
(a) suspend performance of any of its obligations under the Coal Supply Agreement;
(b) terminate, rescind or accept a purported repudiation of the Coal Supply Agreement;
(c) enforce any judgment or order in relation to the Coal Supply Agreement against the BOT Company or any of its assets;
Translation - Indonesian PENDAHULUAN:
(A) Pemasok Batu Bara dan Perusahaan BGS telah menandatangani Perjanjian Pemasokan Batu Bara terkait dengan pengambilalihan, desain, pengembangan, perekayasaan, pengadaan, pembangunan, produksi, pendirian, uji coba, pengujian, kepemilikan, pengoperasian, pemeliharaan, pembiayaan dan pemindahan Nghi Son 2, 2x600 MW pembangkit listrik tenaga uap batu bara yang berada di Nghi Son, Provinsi Thanh Hoa di bagian utara-pusat Vietnam ("Proyek").
(B) Sesuai dengan Perjanjian Ketentuan Umum, Para Pemberi Pinjaman telah setuju untuk menyediakan fasilitas kredit kepada Perusahaan BGS untuk kepentingan pembiayaan Proyek.
(C) Penandatanganan Perjanjian ini dan penyerahannya kepada Para Pihak dalam Perjanjian ini merupakan persyaratan pendahuluan untuk ketersediaan dana berdasarkan Perjanjian Ketentuan Umum.
PARA PIHAK MENYEPAKATI sebagai berikut:
1. Definisi dan Interpretasi
1.1 Definisi
Dalam Perjanjian ini:
"Obligor Tambahan" (Additional Obligor) berarti pribadi yang diidentifikasikan sebagai Obligor Tambahan dalam suatu Pemberitahuan Pengambilalihan;
"Perjanjian Pemasokan Batu Bara" (Coal Supply Agreement) berarti perjanjian pemasokan batu bara tertanggal pada atau sekitar tanggal Perjanjian ini dan dibuat antara Perusahaan BGS dan Pemasok Batu Bara;
"Perjanjian Ketentuan Umum" (Common Terms Agreement) berarti perjanjian ketentuan umum tertanggal 13 April 2018 dan ditandatangani antara, antara lain, Perusahaan BGS, Agen Jaminan Luar Negeri dan Para Pemberi Pinjaman;
"Akta Novasi" (Deed of Novation) berarti suatu akta novasi yang secara substansial dibuat dalam bentuk yang ditentukan dalam Lampiran 2 (Akta Novasi);
"Sengketa" (Dispute) memiliki arti yang diberikan kepada istilah tersebut dalam Pasal 9.2 (Musyawarah);
"Pribadi Yang Memenuhi Syarat" (Eligible Person) berarti suatu pribadi dengan kapasitas hukum, kuasa dan kewenangan, sumber keuangan dan kompetensi teknis yang diperlukan untuk menjadi salah satu pihak dalam dan melaksanakan kewajiban-kewajiban Perusahaan BGS berdasarkan Perjanjian Pemasokan Batu Bara;
"Dokumen Pembiayaan" (Finance Documents) memiliki arti yang diberikan kepada istilah tersebut dalam Perjanjian Ketentuan Umum;
"Pihak Pembiayaan" (Finance Party) memiliki arti yang diberikan kepada istilah tersebut dalam Perjanjian Ketentuan Umum;
"Pengalihan Jaminan Umum" (General Security Assignment) berarti perjanjian jaminan hukum Inggris tertanggal 21 Mei 2018 dan ditandatangani antara Perusahaan BGS dan Agen Jaminan Luar Negeri;
"UU Bahasa" (Language Law) berarti UU Republik Indonesia No. 24 Tahun 2009 tentang Bendera, Bahasa, dan Lambang Negara, serta Lagu Kebangsaan;
"Para Pemberi Pinjaman" (Lenders) berarti bank dan lembaga keuangan yang menyediakan akomodasi keuangan kepada Perusahaan BGS berdasarkan Dokumen Pembiayaan;
"Pemberitahuan Tindakan Pemberi Pinjaman" (Notice of Lender Action) memiliki arti yang diberikan kepada istilah tersebut dalam Pasal 3.2 (Pemberitahuan Tindakan Pemberi Pinjaman);
"Pemberitahuan Tindakan Yang Dilarang" (Notice of Restricted Action) berarti suatu pemberitahuan tertulis dari Pemasok Batu Bara kepada Agen Jaminan Luar Negeri, dengan tembusan kepada Perusahaan BGS, yang menyatakan alasan-alasan yang membuat Pemasok Batu Bara berhak untuk melakukan suatu Tindakan Yang Dilarang dan yang:
(a) secara jelas ditandai sebagai suatu "Pemberitahuan Tindakan Yang Dilarang" terkait dengan Perjanjian Pemasokan Batu Bara;
(b) mencakup keterangan yang wajar mengenai peristiwa atau keadaan yang menyebabkan pemberitahuan tersebut diterbitkan; dan
(c) menyatakan tindakan yang hendak dilakukan oleh Pemasok Batu Bara dan tanggal yang diajukan oleh Pemasok Batu Bara untuk melakukan Tindakan Yang Dilarang Tersebut;
"Tanggal Novasi" (Novation Date) memiliki arti yang diberikan kepada istilah tersebut dalam Pasal 6.3 (Novasi);
"Pemberitahuan Novasi" (Novation Notice) berarti suatu pemberitahuan tertulis yang diberikan oleh Agen Jaminan Luar Negeri kepada Pemasok Batu Bara sesuai dengan Pasal 6.1 (Pengajuan Novasi);
"Pihak" (Party) berarti salah satu pihak dalam Perjanjian ini;
"Tindakan Yang Dilarang" (Restricted Action) berarti mengambil langkah apa pun untuk:
(a) menangguhkan pelaksanaan kewajibannya berdasarkan Perjanjian Pemasokan Batu Bara;
(b) mengakhiri, membatalkan atau menerima suatu penolakan tersirat dari Perjanjian Pemasokan Batu Bara;
(c) memberlakukan putusan atau perintah terkait dengan Perjanjian Pemasokan Batu Bara terhadap Perusahaan BGS atau aset-asetnya;
